1. Acceptance of Terms

By accessing and using the QuantsCap website, platform, and services ("Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you are not authorized to access or use our Services. QuantsCap ("Company," "we," "us," or "our") reserves the right to modify these Terms at any time. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. It is your responsibility to review these Terms periodically for updates.

2. Eligibility

To use our Services, you must be at least 18 years of age and a resident of a jurisdiction where such services are legally permitted. You represent and warrant that you have the legal authority to enter into this agreement and that your use of the Services does not violate any applicable law or regulation. You are responsible for ensuring that your use of the Services complies with all local, state, national, and international laws and regulations.

3. Account Registration and Credentials

3.1 Registration Requirements

To access certain features of our Services, you must create an account. You agree to provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your login credentials and password. You are solely responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

3.2 Account Verification

QuantsCap is required by law to verify your identity before opening an account and conducting transactions. This includes Know Your Customer (KYC) and Anti-Money Laundering (AML) compliance procedures. You agree to provide all necessary documentation and information required for account verification. We reserve the right to suspend or terminate your account if verification cannot be completed satisfactorily.

4. Investment Services and Risks

4.1 Nature of Services

QuantsCap provides quantitative investment management services. Our Services include the development and deployment of proprietary algorithmic trading strategies across multiple asset classes including equities, fixed income, currencies, commodities, and derivatives. We offer both discretionary and non-discretionary investment solutions for retail and institutional clients.

4.2 Investment Risks

All investments carry inherent risks, including but not limited to:

  • Market Risk: Market conditions and volatility may result in losses.
  • Liquidity Risk: Certain assets may be difficult to sell quickly.
  • Algorithmic Risk: Our quantitative models may underperform expected results.
  • Technology Risk: System failures, cyberattacks, or data breaches.
  • Counterparty Risk: Third parties may fail to meet their obligations.
  • Regulatory Risk: Changes in laws and regulations may impact returns.
  • Concentration Risk: Strategies may be concentrated in certain sectors or assets.

Past performance is not indicative of future results. You should never invest funds that you cannot afford to lose. You acknowledge that you understand these risks and accept them as a condition of using our Services.

4.3 No Guarantee of Returns

QuantsCap does not guarantee or promise any specific returns, performance targets, or results from the investment strategies offered. All investments carry risk of loss, including potential loss of principal. Investment returns are subject to market conditions, economic factors, and numerous other variables beyond our control.

5. Fees and Charges

5.1 Fee Structure

You agree to pay all applicable fees for the Services provided. Fee structures may include:

  • Management Fees: A percentage of assets under management.
  • Performance Fees: A percentage of profits earned.
  • Transaction Fees: Charges for executing trades.
  • Administrative Fees: Charges for account maintenance and services.
  • Withdrawal Fees: Charges for fund redemptions.

5.2 Fee Disclosure

All applicable fees are clearly disclosed in your account documentation and investment agreement. You agree to review these fees carefully. We reserve the right to modify fees with 30 days' notice to you. Continued use of the Services after fee changes constitutes acceptance of the new fee structure.

6. User Conduct and Prohibited Activities

You agree not to:

  • Violate any applicable laws, regulations, or these Terms.
  • Provide false, inaccurate, or misleading information.
  • Use our Services for money laundering, terrorism financing, or illegal activities.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Transmit viruses, malware, or other harmful code.
  • Engage in market manipulation, insider trading, or other securities violations.
  • Reverse engineer, decompile, or disassemble our proprietary systems.
  • Use automated tools, bots, or scraping methods without authorization.
  • Harass, threaten, or abuse our staff or other users.
  • Share confidential or proprietary information without authorization.

7. Intellectual Property Rights

7.1 Ownership

All content, features, and functionality of the Services, including but not limited to software, algorithms, trading strategies, research, documentation, and design, are the exclusive property of QuantsCap or our licensors. These items are protected by international copyright, trademark, patent, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal investment purposes. You may not reproduce, distribute, modify, create derivative works from, or publicly display any content without our express written permission.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTSCAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE TOTAL AMOUNTS YOU HAVE PAID TO QUANTSCAP IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless QuantsCap, its officers, directors, employees, agents, and affiliates from any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising from or related to:

  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your use of the Services.
  • Content or information you provide.
  • Your infringement of any third-party rights.

10. Termination

10.1 Termination by User

You may request to close your account at any time by contacting our support team. Upon termination, all positions will be liquidated, funds will be returned according to our standard procedures, and all outstanding fees and charges will be collected.

10.2 Termination by Company

We reserve the right to suspend or terminate your account immediately, without notice, if:

  • You violate these Terms or any applicable law.
  • We suspect fraudulent or illegal activity.
  • Account verification cannot be completed.
  • You provide false or misleading information.
  • We determine your account presents unacceptable risk.
  • Required by law or regulatory authority.

10.3 Effect of Termination

Upon termination, your right to access and use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination will continue in effect, including limitations on liability, indemnification, and dispute resolution.

11. Dispute Resolution

11.1 Governing Law

These Terms and all disputes related to the Services are governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

11.2 Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by a mutually agreed arbitrator, rather than in court. The arbitration shall be conducted in accordance with applicable arbitration rules and procedures.

11.3 Limitation Period

You agree that any claim or cause of action arising from or relating to the Services must be filed within one (1) year after such cause of action arises, or forever be barred.

12. Regulatory Compliance

QuantsCap operates in compliance with all applicable securities laws, regulations, and industry standards. Our Services are subject to regulatory oversight by relevant financial authorities. You acknowledge that we may be required to provide information about your account and transactions to regulatory authorities.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE.

QUANTSCAP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICES ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Privacy

Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms. Please review our Privacy Policy to understand our privacy practices.

16. Entire Agreement
